Question

What’s the difference between ISOs and NSOs when leaving a job?

Answer

Incentive stock options (ISOs) may need to be exercised within 90 days of leaving to preserve their preferential tax treatment. After 90 days, they automatically convert to nonqualified stock options (NSOs), which are taxed as ordinary income on the spread at the time of exercise. NSOs don’t have the 90-day ISO requirement but also don’t offer the same capital gains potential. Your tax outcome depends on which type you hold and when you exercise.
